By creating an account or using BusinessHub APAC, you agree to these Terms in full. Key obligations include: the Non-Circumvention clause (Section 3), the NDA requirement (Section 4), and the Success Fee (Section 2).

1. Platform Overview

BusinessHub APAC (“the Platform”) is a premium, membership-based marketplace connecting business sellers, franchise brands, investors, and acquisition buyers across the Asia-Pacific region. By creating an account or using the Platform, you agree to these Terms of Service.

2. Commission and Success Fee

BusinessHub APAC charges a success fee on transactions where:

  • The buyer and seller were introduced or connected through the Platform;
  • A Non-Disclosure Agreement (NDA) was requested or executed through the Platform; or
  • A Deal Room was opened for the listing in question.

The success fee structure is as follows:

  • Transactions under $1,000,000 AUD: 2.5%
  • Transactions $1,000,000 – $5,000,000 AUD: 2.0%
  • Transactions $5,000,000 – $20,000,000 AUD: 1.5%
  • Transactions above $20,000,000 AUD: 1.0%

Success fees are the responsibility of the seller unless otherwise agreed in writing with BusinessHub APAC.

3. Non-Circumvention Clause

This is a legally binding clause. Please read carefully.

You agree not to directly or indirectly circumvent, avoid, bypass, or obviate the Platform in connection with any transaction involving any party introduced through the Platform. This obligation survives for a period of 24 months from the date of introduction.

Circumvention includes but is not limited to: contacting a counterparty through external channels after an introduction on the Platform, completing a transaction with a Platform-introduced party without notifying BusinessHub APAC, or structuring a transaction to avoid the success fee.

Breach of this clause may result in a fee equal to the maximum applicable commission rate applied to the transaction value, plus legal costs.

4. NDA Process — How It Works & What It Protects

4.1 NDA is Required Before Accessing Confidential Information

Sellers may mark certain information as “NDA-gated” including financial statements, business identity, owner details, and operational documents. This information is automatically locked and cannot be accessed by any buyer until a valid, executed NDA is on file between that specific buyer and seller.

4.2 The NDA Request Process

  1. The buyer initiates an NDA request from the listing page.
  2. The seller receives a notification and reviews the buyer's profile.
  3. The seller approves or declines the NDA request.
  4. If approved, both parties digitally sign the NDA within the platform.
  5. Once fully executed, the platform automatically unlocks NDA-gated content for that buyer only.

4.3 The NDA is Legally Binding

By signing an NDA on this Platform, you agree to maintain the strict confidentiality of all disclosed information. Breach of an NDA constitutes a material breach of these Terms and may result in: immediate account suspension, legal action for damages, and notification of relevant parties.

4.4 Seller Rights Under the NDA

Sellers retain full control. You may revoke a buyer's NDA access at any time, restricting their access to confidential materials. All document access is logged with timestamps and is available to you upon request.

4.5 NDA Does Not Grant Permission to Transact Externally

Execution of an NDA through the Platform triggers the Non-Circumvention clause in Section 3. You may not use information obtained under an NDA to facilitate a transaction outside the Platform without incurring the applicable success fee.

5. Subscriptions and Payments

Subscriptions are charged in advance on a monthly basis. You may cancel at any time; cancellations take effect at the end of the current billing period. No refunds are provided for partial months unless required by law.

6. No Financial Advice

BusinessHub APAC does not provide financial, investment, tax, or legal advice. All information on the Platform is provided for general informational purposes only. You should seek independent professional advice before making any investment or business acquisition decision.

7. Accuracy of Listings

Sellers are solely responsible for the accuracy of their listings. BusinessHub APAC does not verify, endorse, or guarantee any information in any listing. Buyers must conduct their own due diligence.

8. Account Termination

BusinessHub APAC reserves the right to suspend or terminate any account at its discretion, particularly for breach of these Terms, fraudulent activity, or misrepresentation.

9. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.
